Resumo(s)
Interest groups in takeover processes are not confined to two players alone. Other
parties such as shareholders, stakeholders and society may be affected by the
negotiations outcome. Negotiations therefore carry in themselves huge social
responsibilities, given their potential to influence the fate of many other players.
Is it possible to create the correct incentives to prevent unethical behaviour in
negotiations and to what extent are unethical tactics acceptable if the outcome may
bring a larger benefit compared to initial present benefit? To answer these questions,
one must strip away from cultural, moral and ethical chains by which people are
bound.
