Resumo(s)

The rapid integration of Artificial Intelligence (AI) into the commercial sector is transforming the modern workplace. This transformation has been driven by the need for efficiency and exacerbated by demographic shifts and skilled labor shortages in Germany. While major corporations are increasingly relying on AI products to accelerate complex processes, the deployment of such systems within corporate leadership structures creates a distinct tension with existing legal frameworks. This thesis examines the compatibility of AI systems, specifically those engaged in autonomous decision-making and supervisory duties, with the German Stock Corporation Act (Aktiengesetz). A key part of this work is an examination of the legal challenges arising from AI-assisted decision-making at the board level. This includes the controversial concept of the 'AI board member' and the resulting implications for corporate liability and governance. The thesis concludes by proposing approaches to reconcile technological innovation with national and supranational legal requirements.
