dc.description.abstractThis dissertation examines how non-fungible tokens (NFTs) fit into the legal framework, at the intersection of their technical architecture and the relevant Intellectual Property and data protection regimes in Europe and Portugal. The text begins with an operational delimitation of the phenomenon, identifying the components that contribute to the creation and circulation of NFTs (distributed ledger registration, smart contracts, metadata, and storage solutions, often off-chain), how these shape the contractual language of commercial transactions, and the expectations of the parties that issue, intermediate, and acquire NFTs. The research adopts a rather dogmatic methodology, based on the systematic interpretation of European and Portuguese sources and grounded in a critical review of the literature and the analysis of public documentation from platforms and marketplaces (terms of use, licenses, verification policies, removal/curation mechanisms, and royalty enforcement models), acting as indicators of how the market structures safeguards and risks. In terms of substance, the dissertation is organized around four analytical topics: (i) legal qualification of what is transacted in the acquisition of an NFT, distinguishing token, file/asset, and exploitation rights; (ii) impact of marketplace architecture and governance on the transparency of information to the buyer and on the protection of the rights holder; (iii) incidence of copyright and trademarks in the evolution of typical acts in the NFT lifecycle (minting, listing, sale, resale, exposure, and reuse), including the function of exceptions/limitations and technical protection measures; and (iv) points of contact and friction between persistence/immutability characteristics and the GDPR, considering the assigned role and executable compliance solutions. The work concludes with a summary of the main problems identified and with suggestions for best practices and a research agenda for future developments.eng
dc.description.abstractEsta dissertação examina como os non-fungible tokens (NFTs) se inserem no direito, no cruzamento entre a sua arquitectura técnica e os regimes de Propriedade Intelectual e de proteção de dados pertinentes na Europa e em Portugal. O texto inicia-se por uma delimitação operacional do fenómeno, identificando os componentes que concorrem para a criação e circulação dos NFTs (o registo em ledger distribuído, os smart contracts, os metadados e as soluções de armazenamento, frequentemente off-chain), como estes moldam a linguagem contratual das transacções comerciais e as expectativas das partes que emitem, intermediam e adquirem NFTs. A investigação adota uma metodologia bastante dogmática, baseada na interpretação sistemática de fontes europeias e portuguesas e alicerçada na revisão crítica da literatura e na análise de documentação pública de plataformas e marketplaces (termos de uso, licenças, políticas de verificação, mecanismos de remoção/curadoria e modelos de enforcement de royalties), atuando como indícios do modo como o mercado estrutura cuidados e riscos. No plano substantivo, a dissertação ordena-se em torno de quatro tópicos de análise: (i) qualificação jurídica do que é transacionado na aquisição de um NFT, distinguindo token, ficheiro/asset e direitos de exploração; (ii) impacto da arquitetura e da governação de marketplaces na transparência da informação ao comprador e na proteção do titular de direitos; (iii) incidência dos direitos de autor e de marcas na evolução dos atos típicos do ciclo de vida do NFT (minting, listing, venda, revenda, exposição e reutilização), incluindo a função de exceções/limitações e de medidas técnicas de proteção; e (iv) pontos de contacto e atrito entre características de persistência/imutabilidade e o GDPR, considerando o papel atribuído e as soluções executáveis de conformidade. O trabalho conclui com uma reunião dos problemas principais identificados e com sugestões de boas práticas e de agenda de pesquisa para desenvolvimentos futuros.por
