Neste artigo, analiso a
figura do documento que reproduz
uma versĂŁo consolidada do contrato
de sociedade, consagrada no atual
n.Âș 2 do art. 59.Âș CRCom. Procuro
determinar a razĂŁo de ser e o alcance
da regra que impÔe a apresentação
deste documento a registo. Concluo
que o preceito impÔe à sociedade um
dever de informar, que se aplica sempre
que algum dos elementos constantes
da versĂŁo arquivada se mostre
desatualizado, independentemente de
essa desatualização resultar ou não
de uma deliberação de alteração do
contrato de sociedade.
In this article, I analyze the document which reproduces a consolidated version of the instrument of constitution or of the statutes of a company, as per article 59(2) of the Portuguese Commercial Registration Code. I try to determine the purpose and scope of the rule which imposes submittal of this document to registration. I conclude that this provision imposes on the company a duty to inform, applicable whenever the previous version is shown to be outdated, regardless of whether or not such state is the result of a resolution to amend the instrument of constitution or statutes.
