| Abstract: | The purpose of this paper is to study the Representations and Warranties, clauses from Anglo-Saxon legal systems which have been gaining prominence in company purchase and sale agreements in Portugal. This inclusion is not without difficulties, so this paper tries to portray the problems, and possible solutions, from its origin to the application in our legal system. A presente dissertação procura estudar as Representations and Warranties, cláusulas oriundas dos sistemas jurídicos anglo-saxónicos que têm vindo a ganhar relevo nos contratos de compra e venda de empresas celebrados em Portugal. Esta inserção não é isenta de dificuldades, pelo que procuraremos retratar os problemas, e as possíveis soluções, desde a origem até à aplicação destas cláusulas no nosso ordenamento jurídico. |
