A presente dissertação tem como objetivo aprofundar e compreender a categoria
dos créditos subordinados no contexto do processo de insolvência e também num dos
principais mecanismos da pré-insolvência, o Processo Especial de Revitalização (PER).
Nestes termos, será apresentada, num primeiro momento, uma introdução geral sobre os antecedentes do regime dos créditos subordinados, destacando a sua configuração no anteprojeto do CIRE e a influência da lei espanhola no desenvolvimento do pensamento do legislador português.
Posteriormente, serão enunciadas algumas considerações gerais sobre esta categoria de créditos, com ênfase nas razões que justificam a subordinação de cada subtipo de crédito subordinado, já que é, com base nestas, que melhor se compreenderá o tratamento atribuído a estes credores, em especial no âmbito dos trâmites do processo de insolvência e do PER.
Por fim, no capítulo central da dissertação, proceder-se-á à análise do regime processual aplicado a estes credores e das respetivas consequências, tanto no âmbito do processo de insolvência como do PER.
O encadeamento lógico e estrutural da presente dissertação permitirá proceder com a análise crítica pretendida sobre o tratamento atribuído aos créditos subordinados e, em particular, sobre a sua relevância no plano do direito da insolvência.
The present dissertation aims to deepen and understand the category of subordinated credits in the context of the insolvency process, as well as in one of the main mechanisms of pre-insolvency, the Special Revitalization Process (PER). Accordingly, an initial general introduction will be provided on the background of the subordinated credits regime, highlighting its configuration in the CIRE draft and the influence of Spanish law on the development of Portuguese legislative thought. Subsequently, some general considerations about this category of credits will be outlined, with an emphasis on the reasons justifying the subordination of each subtype of subordinated credit, as it is based on these reasons that the treatment attributed to these creditors, especially within the procedural steps of the insolvency process and the PER, will be better understood. Finally, the central chapter of the dissertation will analyze the procedural regime applied to these creditors and the respective consequences thereof, both within the insolvency process and the PER. The logical and structural sequence of this dissertation will allow for the critical analysis intended regarding the treatment of subordinated credits, particularly their relevance within the field of insolvency law.
