As one of the world’s leading players in the banking industry, during the 1990’s, Santander experienced a successful globalization process that was based on a strategy of regional bank integration. In 1999, Santander was looking for alternatives to strengthen its position in the Portuguese market. In early May of that year, Champalimaud, owner of the Portuguese Banco Totta & Açores, offered to sell the bank. Santander had to study the acquisition option and decide whether it should be realized. The purpose of this case is to illustrate the decision to acquire a bank from the bidder bank’s perspective and to discuss the major concerns a manager faces when he has to make that decision. The students are required to identify the synergies and risks of the operation as well as to evaluate the option of acquisition.
